he subject to the control of the Director and Engineer-in-chief of the Peking-Mukden Railway, the present procedure for the transaction of business being in all points followed. In the future, should the necessity for a change arise, it shall be made in accordance with the provisions of the Convention after consultation with the South Manchurian Railway Company; and the above-mentioned procedure shall likewise be followed as regards the duties of the post.

Art. 5. As the Chinese Government find difficulty in separating the business of the accounts of the section of the Peking-Mukden Railway east of the Liao River, the Japanese Government consent not to require that a Japanese be employed as Superintendent of Accounts on the said line. They agree that the monthly instal- ment of principal and interest repayable annually on the loan shall be regarded as the monthly net receipts from the line east of the Liao River, and that this amount shall, on the first day of each month be deposited by the Chinese Government in a Japanese bank in China designated by the South Manchurian Railway Company, and shall be applied to the payment of principal and interest as each term of repayment arrives. The method of such repayment of principal and interest, and the rate of interest on the bank deposits, &c., shall be agreed upon at the time of settling the contract of loan.

The Chinese Government shall present to the South Manchurian Railway Company at the end of each month a provisional account of receipts and expenditure, and at the end of the year a final account of receipts and expenditure, in the form of a report in English, for the entire line of the Peking-Mukden Railway.

Art. 6. In accordance with the provisions of Article 3 of the Convention, a Japanese shall be employed as Engineer-in-chief and Superintendent of Accounts on the Kilin-Changchun Railway. As regards the method of their appointment, a suitable person shall be selected by the Chinese Government as Engincer-in-chief, and he shall be appointed by the Chinese Government after consultation with the South Manchurian Railway Company, and the Superintendent of Accounts shall be nominated by the South Manchurian Company and, after consultation with the Chinese Government, appointed by the Chinese Government. In the event of a change becoming necessary, the above-mentioned procedure shall likewise be followed and the appointment made after consultation with the South Manchurian Railway Company, in accordance with the provisions of the Convention.

Art. 7. An arrangement on points of detail relating to the loan shall be separately agreed upon on the basis of the provisions of the Convention, and this Supplementary Agreement between Delegates of the South Manchurian Railway Company and the Chinese Department of Posts and Telegraphs.

The present Supplementary Agreement requires to receive the approval of the home Governments of both parties.
